Terms of Service

Please read these Terms of Service carefully before using NeedReno. They explain what NeedReno is, what it is not, and the rules that apply when you use our website and services. By creating an account, submitting a project, listing a business, or otherwise accessing or using NeedReno, you agree to be bound by these Terms. If you do not agree, please do not use the platform.

In these Terms, "NeedReno", "we", "us", and "our" mean NeedReno Inc., the operator of the websites at needreno.ca and needreno.com and their related services (together, the "Platform"). "You" means the person or business using the Platform. "Homeowner" means a person looking for renovation or home improvement services. "Contractor" means a business or tradesperson that lists on, or is listed on, the Platform.

1. What NeedReno Is, and What It Is Not

NeedReno is a technology platform, online directory, and search and connection service. Our role is limited to helping Homeowners discover, research, and contact independent Contractors, and helping Contractors present their businesses and manage their day to day operations.

NeedReno is not a contractor, builder, renovator, tradesperson, construction company, or home service provider. We do not perform, supervise, manage, schedule, inspect, warrant, or guarantee any renovation, construction, repair, design, or other work. We are a venue that connects two independent parties. We do not:

• employ, control, or direct any Contractor;
• act as an agent, partner, joint venturer, or representative of any Homeowner or Contractor;
• become a party to any quote, estimate, contract, agreement, or transaction that a Homeowner and a Contractor may enter into with each other;
• guarantee that any work will be performed, that it will be performed to any standard, on time, on budget, or at all; or
• guarantee the licensing, insurance, qualifications, honesty, solvency, workmanship, or conduct of any Contractor or Homeowner.

Any agreement to perform work is solely between the Homeowner and the Contractor. Contractors are independent third parties. NeedReno is not responsible or liable for their acts, omissions, work, delays, damage, costs, disputes, or conduct. You use the Platform, and you deal with other users, at your own risk.

2. NeedReno Is Free for Homeowners

Homeowners never pay NeedReno. Searching for Contractors, submitting a project, requesting quotes, messaging Contractors, saving projects, and leaving reviews are all free for Homeowners. NeedReno does not charge Homeowners any fee, commission, markup, or percentage of any renovation, and NeedReno does not take a cut of the price you agree to pay a Contractor.

The price of your renovation is a matter between you and your Contractor. NeedReno has no part in setting it, collecting it, holding it, or paying it out.

3. How NeedReno Is Paid

NeedReno earns revenue only from Contractors, and only in the same way that any advertising or business listing service does. Contractors may pay:

• Lead fees, for the opportunity to be introduced to a Homeowner who is looking for their services; and
• Subscription fees, for a listing plan and access to the business tools described in these Terms.

These fees are paid by Contractors to NeedReno for advertising, listing, and software services. They are not payment for any renovation work, and they do not make NeedReno a party to any work. A Contractor paying NeedReno does not mean NeedReno endorses, recommends, guarantees, or vouches for that Contractor.

4. No Payments Between Homeowners and Contractors Pass Through NeedReno

NeedReno does not process, handle, hold, escrow, or transmit payments between Homeowners and Contractors. We are not a bank, payment processor, escrow agent, or money services business for renovation payments. When you hire a Contractor, you pay that Contractor directly using whatever method the two of you agree on. Any invoice a Contractor sends you through the Platform is a document created by the Contractor. NeedReno does not collect on it, guarantee it, or take responsibility for it. Because NeedReno never holds renovation funds, NeedReno is not responsible for refunds, chargebacks, deposits, non payment, or any financial dispute between you and a Contractor.

5. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Platform. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion, including where information is inaccurate or where these Terms are breached.

6. Listings, Verification, and What "Verified" Means

Some Contractor listings are created by the Contractor. Others are created by NeedReno from publicly available business information as an unclaimed listing, which the business may later claim. Listings, including business names, descriptions, service areas, photos, and other details, are provided by Contractors or drawn from public sources, and NeedReno does not independently confirm that every detail is accurate or current.

Where a listing shows a badge such as "Verified", this means only that NeedReno has performed a limited check of certain items a Contractor submitted to us, which may include business identity, a licence number, or proof of insurance, at a point in time. A verification badge is not a guarantee, endorsement, warranty, or recommendation. It does not mean the Contractor is licensed for your specific project, that coverage is current, that the Contractor will do good work, or that NeedReno stands behind the Contractor. You remain responsible for confirming a Contractor's licensing, insurance, references, and suitability before you hire them.

7. Homeowner Responsibilities and Assumption of Risk

You are responsible for your own decision to contact, hire, pay, or work with any Contractor. Before hiring, you should independently verify the Contractor's identity, licensing, permits, insurance, references, and reviews, obtain a written contract directly with the Contractor, and satisfy yourself as to price, scope, timeline, and quality. Reviews, ratings, profiles, quotes, and other information on the Platform are provided to help you research, but they are not a substitute for your own due diligence and may be incomplete, out of date, or inaccurate. You assume all risk arising from your dealings with Contractors.

8. Contractor Responsibilities

If you use the Platform as a Contractor, you additionally agree that:

• you will keep your profile, licensing, insurance, and service information accurate and current;
• you hold and will maintain all licences, permits, registrations, and insurance required for the work you offer, and you will comply with all applicable laws, codes, and safety and consumer protection requirements;
• you are solely responsible for the work you perform, your contracts with Homeowners, your pricing, your employees and subcontractors, your taxes, and your compliance obligations;
• you will respond to Homeowners professionally and honor the representations in your listing;
• you will pay all applicable lead fees and subscription fees, and you authorize NeedReno to charge your saved payment method for those fees as described at signup and in your billing settings;
• you will not use Homeowner information for any purpose other than responding to that Homeowner's request, and you will not resell, redistribute, or misuse it; and
• you will not solicit Homeowners to transact off the Platform in order to avoid fees where a lead was provided, and you will not manipulate reviews, matching, or rankings.

Lead fees and subscription fees are described at the time of purchase. Except as required by law or as expressly stated, fees are non refundable. Billing terms, including that cancellations take effect at the end of the current billing period and that plans remain active for the period already paid, are presented at checkout and in your account.

9. Business Tools for Contractors

Depending on plan, Contractors may have access to business tools that may include quoting and estimating, invoicing, job costing and expenses, a pricing catalog, parts and suppliers, scheduling and availability, a client and lead pipeline, contracts and change orders, portfolio and media, analytics and benchmarks, response time tracking, referrals, and an optional integration with QuickBooks Online. These tools are provided to help Contractors run their business and are offered on an "as is" and "as available" basis. Contractors remain solely responsible for the accuracy of their own quotes, invoices, records, tax filings, and legal compliance. NeedReno does not provide accounting, tax, legal, or professional advice, and the tools are not a substitute for such advice. Any documents a Contractor creates using these tools are the Contractor's documents, not NeedReno's.

10. Messaging, Records, and Reviews

The Platform lets Homeowners and Contractors message each other and keep a record of their conversations, quotes, and project details for their convenience. It also lets Homeowners rate and review Contractors. You agree that reviews must reflect a genuine experience and must be honest, lawful, and not misleading, defamatory, or abusive. You may not post fake, incentivized, or manipulated reviews, or reviews of your own business or a competitor. We may screen, decline to publish, label, or remove content, and we may let Contractors publicly respond to reviews, but we are under no obligation to monitor content and we are not responsible for content posted by users. Messages and records are provided as a convenience and we do not guarantee their permanent availability.

11. User Content and Licence

You retain ownership of the content you submit, such as project descriptions, photos, reviews, and profile information. By submitting content, you grant NeedReno a worldwide, non exclusive, royalty free, sublicensable licence to host, store, reproduce, display, adapt, translate, and distribute that content for the purpose of operating, promoting, and improving the Platform. You represent that you have the rights to the content you submit and that it does not infringe anyone's rights or any law. We may translate content, including into French and Spanish, to serve users in different regions.

12. Prohibited Conduct

You agree not to:

• use the Platform for any unlawful, fraudulent, harmful, or deceptive purpose;
• post false, misleading, infringing, defamatory, harassing, or obscene content;
• impersonate any person or business or misrepresent your affiliation;
• scrape, harvest, or collect data from the Platform except as expressly permitted, or use bots or automated means without our consent;
• interfere with, disrupt, overload, or attempt to gain unauthorized access to the Platform or its systems;
• circumvent fees, manipulate rankings, matching, or reviews, or misuse leads or other users' information; or
• use the Platform to send spam or unsolicited communications.

13. Intellectual Property

The Platform, including its software, design, text, graphics, logos, and the NeedReno name and marks, is owned by NeedReno or its licensors and is protected by intellectual property laws. We grant you a limited, non exclusive, non transferable, revocable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from the Platform except as permitted by these Terms or applicable law.

14. Third Party Services and Links

The Platform may link to or integrate with third party services and websites, such as payment, mapping, communications, or accounting providers. We do not control and are not responsible for third party services, and your use of them is governed by their own terms and policies.

15. Disclaimers

The Platform and all content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. NeedReno disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non infringement. We do not warrant that the Platform will be uninterrupted, error free, secure, or free of harmful components, or that any information, listing, quote, review, or match will be accurate, complete, current, or reliable. NeedReno makes no warranty and gives no guarantee regarding any Contractor, any Homeowner, or any work, service, quote, price, or outcome. Any reliance you place on the Platform or on other users is at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

16. Limitation of Liability

To the fullest extent permitted by law, NeedReno and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of the Platform or your dealings with any other user, whether based on contract, tort, negligence, strict liability, or any other theory, even if advised of the possibility of such damages.

Because NeedReno is only a venue that connects independent parties, NeedReno is not liable for the acts, omissions, work, conduct, delays, damage, injuries, costs, or disputes of any Contractor or Homeowner, or for any agreement, payment, or transaction between them.

To the fullest extent permitted by law, the total aggregate liability of NeedReno arising out of or relating to the Platform or these Terms will not exceed the greater of the amount you paid to NeedReno in the twelve months before the event giving rise to the claim, or one hundred Canadian dollars (CAD $100). Because Homeowners pay NeedReno nothing, NeedReno's aggregate liability to a Homeowner will not exceed CAD $100. Some jurisdictions do not allow certain limitations of liability, so some of these limits may not apply to you, and nothing in these Terms limits liability that cannot be limited by law.

17. Release of Claims Between Users

Because your dealings are directly with other users, if you have a dispute with a Homeowner or a Contractor, you pursue it with that party and not with NeedReno. To the fullest extent permitted by law, you release NeedReno from all claims, demands, damages, and liabilities of every kind arising out of or connected with any such dispute or with the acts or omissions of any other user.

18. Indemnification

You agree to indemnify, defend, and hold harmless NeedReno and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your content, your dealings with other users, your breach of these Terms, or your violation of any law or third party right.

19. Suspension and Termination

You may stop using the Platform at any time, and you may close your account through your account settings. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or the law, or to protect the Platform or its users. Sections that by their nature should survive termination, including disclaimers, limitations of liability, release, indemnification, and governing law, will survive.

20. Governing Law and Disputes With NeedReno

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of laws rules. Subject to the paragraph below, you agree to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute with NeedReno that is not otherwise resolved. If you use the Platform from the United States or elsewhere, these Terms still apply, and nothing in them removes any protection or right you have under the mandatory consumer protection laws of your own jurisdiction that cannot be waived by agreement.

Before starting any formal proceeding, you agree to first contact us at [email protected] and to try in good faith to resolve the dispute informally. Any dispute will be resolved on an individual basis, and to the fullest extent permitted by law you waive any right to participate in a class or representative action, except where such a waiver is not permitted by the law that applies to you.

21. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "last updated" date shown above and, where appropriate, provide additional notice. Changes take effect when posted. Your continued use of the Platform after changes take effect means you accept the updated Terms.

22. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any policies referenced in them, including our Privacy Policy, are the entire agreement between you and NeedReno regarding the Platform. NeedReno is not liable for any failure or delay caused by events beyond its reasonable control.
